Notice of Appointment of a Receiver and Manager

Pursuant to Section 8 of the Receiverships Act 1993

Thomas Lee Rodewald, Licensed Insolvency Practitioner with reference to NZ FINTECH GROUP LIMITED, NZ FINTECH GROUP HOLDINGS LIMITED and NZ FINTECH SOLUTIONS LIMITED hereby gives notice that on 5 December 2022, Partners For Growth V, L.P. appointed him as receiver and manager of NZ FINTECH GROUP LIMITED, NZ FINTECH GROUP HOLDINGS LIMITED and NZ FINTECH SOLUTIONS LIMITED under the powers contained in a general security agreement dated 30 October 2019 granted in favour of Partners for Growth V, L.P. (“general security agreement”), which property consists of all present and after acquired personal property and all present and future other property excluding the Key Man Insurance (as that term is defined in the general security agreement).

The receiver and manager has been appointed in respect of all present and after-acquired personal property and all present and future other property excluding the Key Man Insurance (as that term is defined in the general security agreement).
