Public Notice of Proposed Amalgamation

Pursuant to Section 221(4) of the Companies Act 1993

The boards of directors of NEW ZEALAND FRUITS LIMITED (Company Number: 616237) (“NZ Fruits”) and SEEKA EAST LIMITED (Company Number: 4852779) (“Seeka Sub”) (a wholly owned subsidiary of Seeka Limited) give notice that NZ Fruits and Seeka Sub propose to amalgamate pursuant to an amalgamation proposal prepared under section 220 of the Companies Act 1993.

The amalgamation is subject to conditions specified in the amalgamation proposal including the approval of shareholders of NZ Fruits to the amalgamation by special resolution. Seeka Limited, as sole shareholder of Seeka Sub has approved the amalgamation by special resolution in writing.

If all of the conditions of the amalgamation proposal are satisfied or waived in accordance with its terms, the amalgamation will take effect on the Effective Date set out in the amalgamation proposal, being a date not earlier than 20 working days after the date of this notice and Seeka Sub will continue as the amalgamated company.

Copies of the amalgamation proposal are available for inspection by any shareholder or creditor of NZ Fruits or Seeka Sub or any person to whom either NZ Fruits or Seeka Sub are under an obligation at the registered offices of NZ Fruits or Seeka Sub (detailed below) during normal business hours.

Any shareholder or creditor of either NZ Fruits or Seeka Sub or any person to whom NZ Fruits or Seeka Sub is under an obligation is entitled to be supplied free of charge with a copy of the amalgamation proposal upon request to the registered office of either NZ Fruits or Seeka Sub (detailed below).
